These Terms & Conditions (the “Terms”) govern your access to and use of the BdB website and any related pages, forms, and content (the “Site”). By accessing or using the Site, you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference.

The Site may be updated, improved, restricted, or discontinued (temporarily or permanently) at any time. We aim to keep the Site available, but we do not guarantee uninterrupted access, availability of specific content, or that materials will be maintained in a particular format.

4. Educational disclaimers and limitations

9. Disclaimer of warranties

To the maximum extent permitted by applicable law, the Site and all content are provided on an “as is” and “as available” basis. BdB B.V. disclaims all warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Site will be error-free, that content is complete or current at all times, or that access will be uninterrupted. Educational materials may be revised over time, and older versions may remain accessible for continuity.

10. Limitation of liability

To the maximum extent permitted by applicable law, BdB B.V. will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or related to your use of (or inability to use) the Site.

To the maximum extent permitted by applicable law, BdB B.V.’s total liability for any claim arising out of or relating to the Site or these Terms is limited to the greater of (a) the amount you paid to BdB B.V. for services in the 12 months before the event giving rise to the claim, or (b) €100.

Nothing in these Terms limits liability for intent, gross negligence, or any liability that cannot be excluded or limited under mandatory law.

11. Indemnification

You agree to indemnify and hold harmless BdB B.V. from and against claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising from: (a) your misuse of the Site, (b) information you submit through the Site, (c) your violation of these Terms, or (d) your violation of applicable laws or the rights of a third party.

12. Force majeure

BdB B.V. will not be liable for any delay or failure to perform resulting from events beyond our reasonable control, including internet outages, power failures, natural disasters, labour disputes, war, terrorism, pandemics, governmental actions, or failures of hosting, cloud, or telecommunications providers.

13. International use

BdB B.V. is established in the Netherlands and provides online education serving learners throughout Canada. We make no representation that the Site is appropriate or legally available for access in every jurisdiction. You are responsible for complying with local laws that apply to your access and use.

14. Governing law and courts

These Terms and any dispute or claim arising out of or in connection with them are governed by the laws of the Netherlands.

Unless mandatory consumer protection laws provide otherwise, the courts with jurisdiction in the Netherlands will have exclusive jurisdiction over disputes arising from or related to these Terms or the Site. If you are a consumer resident in the European Union, you may also benefit from mandatory rights and protections under the consumer laws of your country of residence.

15. Dispute resolution (informal process)

Before starting formal proceedings, you agree to contact us and describe the issue in writing. The parties will attempt to resolve the dispute informally within 30 days of receiving the notice. This does not prevent either party from seeking urgent relief where required.

16. Termination

We may suspend or terminate your access to the Site if we reasonably believe you have violated these Terms or if your activity creates risk for the Site, users, or BdB B.V. Provisions that by their nature should survive termination will survive, including intellectual property, disclaimers, limitation of liability, indemnification, and governing law.

17. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

18. Entire agreement

These Terms, together with the Privacy Policy and Cookie Policy referenced on the Site, constitute the entire agreement between you and BdB B.V. regarding the Site and supersede any prior or contemporaneous communications on the subject.

19. Assignment

BdB B.V. may assign or transfer these Terms as part of a merger, acquisition, reorganization, or sale of assets. You may not assign your rights or obligations under these Terms without our prior written consent.

20. No waiver

Failure by BdB B.V. to enforce any provision of these Terms will not be deemed a waiver of future enforcement of that provision or any other provision.

21. Modifications to these Terms

We may update these Terms from time to time. Changes become effective 14 days after posting on the Site, unless a change is required by law or relates to security, in which case it may take effect sooner. The “Last Updated” date at the top of this page indicates when these Terms were last revised.

22. Electronic communications

You agree that communications and notices may be provided electronically, and that electronic signatures and records are binding where permitted under applicable law, including relevant EU electronic identification rules.
